Terms and Conditions for Soline Digital
1. Introduction
Welcome to Soline Digital, a brand by YOP (Your Online Project), KVK number 64611183, The Netherlands. These terms and conditions outline the rules and regulations for the use of Soline Digital’s website and services. By accessing this website and/or using our services, you accept these terms and conditions in full. If you disagree with any part of these terms and conditions, you must not use our website or services.
2. Services
Soline Digital provides digital marketing, web development, and related digital agency services. Our specific offerings and pricing are detailed in individual contracts with our clients. All services are subject to these terms and conditions unless otherwise agreed upon in writing.
3. Client Obligations
Information and Access: the client agrees to provide all necessary information, access, and cooperation required for Soline Digital to perform the services.
Compliance: the client is responsible for ensuring that their use of our services complies with all applicable laws and regulations.
4. Payment Terms
Invoices: invoices are issued according to the terms specified in the individual contract.
Payment Due Date: payments are due within 14 days of the invoice date unless otherwise stated in the contract.
Late Payments: late payments may incur interest at the rate of 1.5% per month or the maximum amount allowed by law, whichever is lower.
5. Intellectual Property
Ownership: all intellectual property rights in the work delivered to the client will remain the property of Soline Digital until full payment or payment for transfer is received.
License: upon full payment, the client will be granted a non-exclusive, perpetual license to use the work for the purposes agreed upon in the contract.
6. Confidentiality
Both parties agree to keep confidential any information that is identified as confidential or that reasonably should be understood to be confidential, except as required by law or with the consent of the disclosing party.
7. Termination
By Either Party: either party may terminate the agreement with 30 days' written notice.
For Breach: Soline Digital may terminate the agreement immediately if the client breaches any of these terms and conditions and fails to remedy the breach within 14 days of receiving notice.
8. Limitation of Liability
Soline Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.
9. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of The Netherlands, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of The Netherlands.
10. Changes to Terms
Soline Digital reserves the right to revise these terms and conditions at any time. We will provide notice of any substantial changes by posting the new terms on our website. Continued use of our services after any such changes constitutes your acceptance of the new terms and conditions.
